EVENT PLANNING EVENT FORM

This Event Planning Agreement (the "Agreement") is entered into between the parties identified below on the Effective Date provided in the signature block. The parties agree as follows:

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within of written notice. Termination shall not relieve Client of the obligation to pay for services performed through the termination date, including non-refundable deposits.

Cancellation and Force Majeure

If Client cancels the Event more than 90 days prior to the Event Date, Client forfeits the deposit. If Client cancels within 90 days of the Event Date, Client remains responsible for a percentage of the total fee as follows: 60–90 days: 50%; 30–59 days: 75%; less than 30 days: 100%. Event Planner is not liable for delays, failures, or cancellations resulting from causes beyond its reasonable control, including but not limited to acts of God, government action, labor disputes, epidemics, or severe weather. In such events, parties shall use commercially reasonable efforts to reschedule.

Insurance, Permits and Compliance

Client is responsible for obtaining any venue permits, licenses, and insurance coverage required by the venue or applicable law unless the parties agree otherwise in writing. Indicate whether Event Planner will procure insurance on behalf of Client:

Confidentiality

Each party agrees that it shall not disclose any confidential or proprietary information of the other party obtained in connection with this Agreement, except as required to perform its obligations hereunder, or as required by law. Confidential information excludes information that (a) is publicly known through no fault of the receiving party, (b) is lawfully received from a third party without restriction, or (c) is independently developed. Confidential obligations shall survive termination for a period of two (2) years.

Indemnification

Client shall indemnify and hold harmless Event Planner and its affiliates, officers, employees and agents from and against any claims, liabilities, losses, damages or expenses (including reasonable attorneys' fees) arising out of Client's negligence, misconduct, or breach of this Agreement, including claims by third parties related to the Event, except to the extent caused by Event Planner's gross negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes promptly by negotiation between executives and, if unsuccessful, to submit the dispute to binding arbitration in the governing state unless the parties mutually agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, together with any exhibit or addendum signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings and agreements, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by both parties to be effective.

Acknowledgement

Each party represents and warrants that it has the authority to enter into this Agreement and that the signatory below is duly authorized to bind the party. The parties have read, understand, and agree to be bound by the terms set forth herein.
