Scope of Work

Planner will provide event planning, vendor coordination, on-site management and related services as detailed below. Planner will perform duties in accordance with the schedule and deliverables agreed by the parties and as further described in the attached scope or project schedule.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve the Client of the obligation to pay for services performed and non-cancellable commitments made by Planner prior to termination.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement or that must be disclosed by law. The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall protect it with at least the same degree of care used to protect its own confidential information, but in no event less than reasonable care. The obligations under this clause survive termination for a period of two (2) years.

Liability and Indemnification

Planner's liability for any claim arising out of this Agreement shall be limited to direct damages and shall not exceed the total fees paid to Planner under this Agreement. Neither party shall be liable for incidental, consequential, punitive, or special damages. Client shall indemnify, defend and hold harmless Planner from claims arising from Client's acts, omissions or breach of this Agreement, including claims by attendees, vendors or third parties, except to the extent caused by Planner's gross negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree to make a good faith attempt to resolve disputes through negotiation prior to initiating litigation. Costs and reasonable attorneys' fees shall be recoverable by the prevailing party.

Entire Agreement

This Agreement, including any attachments, schedules and written amendments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that the individual signing on behalf of a party has been duly authorized to execute this Agreement, and that the performance of its obligations will not violate any agreement with a third party.
