EVENT PLANNING MITZVAH AGREEMENT

Parties and Contact Information

Recitals

WHEREAS, Planner is engaged in the business of event planning and coordination and possesses expertise in planning religious coming-of-age celebrations commonly referred to as mitzvahs; and

WHEREAS, Client desires to retain Planner to provide event planning and coordination services in connection with a mitzvah to be held on Month: Day: Year: at the venue specified below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Event Details

Scope of Work

Planner shall provide the services described below and any additional services agreed in writing. Planner shall perform services in a professional manner consistent with industry standards.

Venue selection and contract negotiation
Vendor identification, coordination and negotiation (caterer, photographer, entertainment)
Design, decor and rental coordination
Timeline production and management
RSVP and guest-list management
Day-of coordination and on-site direction
Other (describe below)

Payment Terms

Client agrees to pay Planner the fees and reimburse expenses as set forth below. All monetary amounts are stated in U.S. dollars.

Deposit is due upon execution of this Agreement and is applied to the Total Fee. Deposit is non-refundable except as provided in Termination below.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. In addition, a late fee of will be charged for each payment overdue more than days.

Client shall reimburse Planner for reasonable third-party costs and out-of-pocket expenses incurred in connection with the services, provided such expenses are pre-approved in writing when required by Client.

Term and Termination

This Agreement is effective as of the date of Client signature below and shall continue until completion of the services described herein, unless earlier terminated as provided below. The parties acknowledge the principal event date listed above as the target completion date for core services.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Client may cancel this Agreement upon written notice; cancellation fees apply as follows: if cancellation occurs more than 90 days before the event, Client forfeits the deposit; cancellation within 90 days results in payment of the full balance unless Planner secures a replacement engagement.

Upon termination, Planner will deliver to Client any work product for which Client has paid and will invoice Client for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party shall keep confidential all information received from the other party that is clearly designated as confidential or that a reasonable person would understand to be confidential, including guest lists, pricing proposals, vendor terms and sensitive family information. This obligation shall not apply to information that is publicly known through no fault of the receiving party or that must be disclosed pursuant to law or court order, provided the disclosing party gives prompt notice to the other party where legally permissible.

Indemnification and Limitation of Liability

Client agrees to indemnify, defend and hold Planner harmless from and against any claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from Client's negligence, willful misconduct, or breach of this Agreement. Planner's liability to Client for any claim arising out of or relating to this Agreement shall be limited to direct damages and shall not exceed the total fees paid by Client to Planner under this Agreement. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state agreed by the parties below without regard to conflict of law principles. Any legal action arising under this Agreement shall be brought in the state or federal courts located within the agreed jurisdiction.

This Agreement, together with any attachments and written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other addresses as the parties may designate in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment

By signing below, the parties acknowledge that they have read and understand this Agreement, that they are authorized to enter into this Agreement, and that they accept the terms and conditions set forth herein.
