NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Late Payment: Any undisputed amount not paid when due shall accrue interest at % per month (or the maximum permitted by law, if less). Vendor reserves the right to suspend performance for nonpayment after days' written notice.

TERM AND TERMINATION

This Agreement is effective as of Effective Date: and continues until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice to the other party. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches and fails to cure within days after receipt of notice.

CONFIDENTIALITY

Each party acknowledges that in connection with performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical and financial information disclosed in any form, whether oral, written, electronic or otherwise. Each receiving party shall: (a) keep Confidential Information confidential and use it only for performance under this Agreement; (b) restrict disclosure to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those here; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Upon termination or written request, the receiving party shall return or destroy Confidential Information and certify such destruction upon request.

INDEMNIFICATION AND LIABILITY

Vendor shall indemnify and hold harmless Client from claims arising out of Vendor's negligent acts, willful misconduct or breach of this Agreement. Client shall indemnify and hold harmless Vendor from claims arising out of Client's negligence, breach or misrepresentations, including any failure to disclose allergen or dietary requirements. Neither party shall be liable for consequential, incidental or punitive damages except for liability arising from gross negligence or willful misconduct.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement: This Agreement, together with any written schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Vendor may assign to an affiliate or in connection with a sale of substantially all of its business.

Independent Contractor: Vendor is an independent contractor and nothing in this Agreement creates an employment, partnership or joint venture relationship.
