EVENT PLANNING OUTING AGREEMENT

This Event Planning Outing Agreement (the Agreement) is made between Client Name: and Event Planner Name: .

RECITALS

WHEREAS, the Client desires to engage the Planner to coordinate and manage an organized outing (the Event) described herein; and

WHEREAS, the Planner represents that it has the experience, personnel, and resources to perform event planning and coordination services for the Event; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Planner will provide services and the Client will compensate the Planner.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. In the event of termination by the Client without cause, the Client shall remain responsible for fees and expenses incurred through the effective termination date, including any non‑refundable vendor deposits.

CANCELLATION; FORCE MAJEURE

Cancellation by Client: If the Client cancels the Event within the cancellation windows described in the Payment Schedule, applicable cancellation fees and vendor cancellation charges shall apply and be payable by the Client.

Force Majeure: Neither party shall be liable for failure or delay in performing obligations, other than payment obligations, if such failure or delay is caused by events beyond the reasonable control of the affected party (including acts of God, governmental orders, pandemics, strikes, or severe weather). The affected party shall promptly notify the other and make reasonable efforts to resume performance.

INSURANCE AND INDEMNIFICATION

Insurance: The Planner shall maintain general liability insurance and, where applicable, workers' compensation coverage. Proof of insurance shall be provided to the Client upon request. The Client may be required to obtain event-specific insurance or additional insured status for the Planner when requested in writing.

Indemnification: Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the Indemnitee's negligence or willful misconduct.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed by one party to the other that is designated as confidential or that, given the nature of the information, reasonably should be considered confidential, shall be held in confidence and shall not be disclosed to any third party without the disclosing party's prior written consent, except as required by law. This obligation shall survive termination of this Agreement for a period of two (2) years.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

Dispute Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiations. If unresolved within forty-five (45) days, the parties agree to submit the dispute to mediation prior to commencing litigation. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

Entire Agreement: This Agreement, including any attachments or addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Amendment: Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that the Planner may subcontract performance of services to qualified vendors, provided the Planner remains responsible for the acts and omissions of such subcontractors.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.
