Event Planning Park Event Agreement

This Event Planning Park Event Agreement ("Agreement") is made effective as of Effective Date: between Client Name: and Organizer Name: .

Recitals

WHEREAS, Client desires to host a public event to be held at Park Name: located at Park Address: ; and

WHEREAS, Organizer represents that it has expertise, licenses, personnel, and the ability to plan, coordinate, and manage the Event described below in accordance with applicable park rules and any required permits; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Organizer will perform planning and on-site services for the Event.

Scope of Work

Organizer shall provide planning, coordination, and on-site management services necessary for the Event as set forth below. Organizer's duties shall include, at a minimum, the following items:

Organizer shall coordinate with municipal authorities and park management as required, obtain all necessary permits (unless otherwise specified below), and ensure compliance with park rules, local ordinances, and any permit conditions. Client is responsible for fees charged by the park or permitting authority unless otherwise agreed in writing.

Late Fee: Any payment not received by the Balance Due Date shall incur interest at a rate of (or the maximum lawful rate if lower), plus all collection costs and attorneys' fees incurred by Organizer in enforcing payment.

Either Party may terminate this Agreement for convenience upon written notice to the other Party given at least days prior to the intended termination date. Either Party may terminate immediately for material breach by the other Party that remains uncured after ten (10) days' written notice. Termination shall not relieve Client of its obligation to pay for services performed and non-cancellable commitments made by Organizer prior to termination.

Insurance and Indemnification

Organizer shall maintain commercial general liability insurance with combined single limits not less than per occurrence and shall provide proof of insurance upon Client's request. Organizer shall name Client as an additional insured on such policy to the extent permitted by insurer.

Indemnification: Organizer agrees to indemnify, defend, and hold harmless Client, its officers, employees and agents from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Organizer's negligence, willful misconduct, or breach of this Agreement, except to the extent such losses are caused by Client's negligence or willful misconduct.

Confidentiality

Each Party may disclose Confidential Information to the other in connection with performance of this Agreement. "Confidential Information" includes nonpublic financial terms, attendee lists, proprietary planning materials, and vendor pricing. The receiving Party shall hold Confidential Information in strict confidence, use it only for performance under this Agreement, and shall not disclose it to third parties except to employees, subcontractors, or professional advisors who have a need to know and are bound to confidentiality obligations no less protective than those herein. Confidentiality obligations shall not apply to information that is or becomes publicly known through no breach of this Agreement, is already known to the receiving Party without restriction, is independently developed, or is required to be disclosed by law or governmental order (provided the disclosing Party is given prompt notice to seek protective measures).

Compliance and Permits

Organizer shall obtain and maintain all licenses, permits and approvals required for Organizer's performance under this Agreement and shall comply with all applicable laws, regulations, and park rules. Client shall provide reasonable assistance in permit applications as necessary, but shall not be responsible for fines or penalties resulting from Organizer's failure to comply with permit conditions or laws.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties shall attempt to resolve disputes in good faith through negotiation. If not resolved within thirty (30) days, disputes shall be submitted to binding arbitration in the county where the Event is located, with each Party bearing its own costs and a neutral arbitrator's fees split equally, except as otherwise awarded by the arbitrator.

Entire Agreement; Amendment

This Agreement, including any attachments and written statements of work signed by the Parties, constitutes the entire agreement between the Parties concerning the Event and supersedes all prior proposals, negotiations, and representations. No amendment or modification shall be effective unless in writing and signed by both Parties.

Miscellaneous Provisions

Assignment: Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, except that Organizer may engage subcontractors so long as Organizer remains responsible for their performance. Force Majeure: Neither Party shall be liable for delays or failures caused by events beyond its reasonable control, including acts of God, strikes, or governmental actions; however, the affected Party must provide prompt notice and make reasonable efforts to mitigate delay.
