EVENT PLANNING PROPOSAL

WHEREAS, Client desires to engage the services of Event Planner to provide event planning, coordination, and related services for the event described below; and

WHEREAS, Event Planner represents that it has the experience, personnel, and resources necessary to perform the services set forth in this Agreement; and

Scope of Work

Event Planner shall provide professional event planning and coordination services for the event described below. Services shall include but are not limited to venue selection assistance, vendor coordination, event design and timeline development, on-site management, and post-event wrap-up.

Payment Terms

Client agrees to pay Event Planner the total fee set forth below in consideration for services and deliverables. All amounts are in U.S. Dollars unless otherwise indicated.

Late payments shall bear interest at a rate of on any unpaid balance, calculated monthly, or a late fee of , whichever is greater. Event Planner may suspend performance for nonpayment after providing written notice and a cure period of days.

Term and Termination

The term of this Agreement shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered no fewer than days prior to the intended termination date. Termination for cause for material breach shall be effective if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party agrees that it shall hold in confidence and not disclose to any third party any confidential or proprietary information of the other party disclosed in connection with this Agreement ("Confidential Information"), except to the extent necessary to perform the services or as required by law. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information and certify such return or destruction upon request.

Indemnification and Limitation of Liability

Client shall indemnify, defend, and hold harmless Event Planner and its officers, employees and agents from and against any claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's negligence, willful misconduct, or breach of this Agreement. Event Planner's total liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Event Planner under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any suit or proceeding arising out of this Agreement shall be brought exclusively in the state or federal courts located in that State.

Entire Agreement

This Agreement, including all schedules, attachments and any written amendments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, representations, negotiations, and agreements, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture or agency relationship.
