This Event Planning Rafters Agreement ("Agreement") is entered into by and between:

WHEREAS, Planner has the experience, personnel, and resources necessary to perform the services and deliverables described in this Agreement and agrees to perform such services in a professional manner in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the planning and execution of the Client's event.

Scope of Work

Planner shall provide the following services and deliverables for the Event. Planner's responsibilities include, but are not limited to, coordination with vendors, timeline development, on-site management on the event date, and final reconciliation of services.

Late Fee: — Unpaid balances shall accrue the stated late fee from the date due until paid in full. Client shall also reimburse Planner for reasonable collection costs.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience upon providing days' written notice; in such event Client will pay Planner for services performed and non-cancellable obligations incurred through the effective date of termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other in connection with the services, including budgets, vendor proposals, guest lists, and trade secrets. Each party shall: (a) maintain confidential all Confidential Information of the other party; (b) use Confidential Information only for performance under this Agreement; and (c) disclose Confidential Information only to its employees, agents, or subcontractors with a need to know and who are bound to confidentiality obligations no less stringent than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is independently developed, or is rightfully received from a third party without restriction.

The obligations in this Confidentiality section survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Insurance and Liability

Planner shall maintain commercial general liability insurance in amounts consistent with industry standards and provide proof of insurance upon Client's reasonable request. Except for willful misconduct or gross negligence, Planner's aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Planner under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. Jurisdiction and venue for any dispute shall be in the courts located within:

This Agreement, including all attachments and statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other, except that Planner may assign to a successor in connection with a merger or sale of substantially all its assets. If any provision is held invalid, the remaining provisions shall remain in full force and effect. Headings are for convenience and shall not affect interpretation.
