EVENT PLANNING REUNION AGREEMENT

Event Planner (hereafter "Planner"):

Recitals

WHEREAS, Planner is engaged in the business of providing event planning, coordination and related services for social reunions and similar gatherings and possesses the experience, personnel and resources necessary to perform such services; and

WHEREAS, Client desires to retain Planner to organize and manage a reunion event as set forth in this Agreement, and Planner agrees to provide such services under the terms and conditions contained herein.

Scope of Work

Planner shall provide event planning, coordination, vendor management and on-site supervision for the reunion event. Specific tasks, deliverables and responsibilities are described below and may be amended only by written agreement of the Parties.

Services and Vendor Management

Planner shall coordinate the following services as indicated. Checking a service indicates that Planner will contract, supervise and manage that element on Client's behalf.

Payment Terms

Total Fee Payable by Client to Planner: $

Late Payment: Any overdue amount shall accrue interest at on the unpaid balance, calculated monthly. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Planner in enforcing payment.

Cancellation; Refunds

Client may cancel this Agreement by providing written notice. If Client cancels more than days prior to the Event Date, Planner shall refund any unearned amounts less non-recoverable third-party costs and administrative fees. If Client cancels within days of the Event Date, Client remains liable for the full fee, less amounts that Planner can recover from vendors.

Term and Termination

Term: This Agreement commences on and terminates upon completion of the services after the Event Date or on , whichever occurs later, unless earlier terminated in accordance with this Section.

Termination for Cause: Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within days after written notice specifying the breach. Termination for Convenience: Either Party may terminate for convenience upon days' prior written notice; Client shall pay Planner for work performed and non-recoverable commitments made through the effective date of termination.

Confidentiality

Each Party shall keep confidential all proprietary and commercially sensitive information disclosed by the other Party in connection with the services and shall not disclose such information to any third party except as required to perform the services, to comply with law, or with the disclosing Party's prior written consent. This obligation shall survive termination of this Agreement for a period of three (3) years.

Insurance and Indemnification

Planner shall maintain general liability insurance appropriate for event management. Client agrees to obtain appropriate event insurance covering its property and attendees. Each Party shall indemnify, defend and hold harmless the other Party from and against claims, liabilities, losses and expenses arising from its own negligent acts or omissions, except to the extent caused by the gross negligence or willful misconduct of the indemnified Party.

Representations; Warranties

Each Party represents that it has the full right and authority to enter into this Agreement and to perform its obligations hereunder. Planner represents that services will be performed in a professional and workmanlike manner consistent with industry standards.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation.

Entire Agreement

This Agreement, together with any attachments or written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both Parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses set forth above or to such other address as a Party may designate in writing.
