EVENT PLANNING AGREEMENT

This Event Planning Agreement (the Agreement) is entered into as of by and between the parties identified below.

Scope of Work

Planner shall provide professional event planning services as set forth below. Services include, but are not limited to, vendor sourcing and negotiation, event design and layout, event timeline development, on‑site management, and post‑event reconciliation. Specific responsibilities and deliverables are described in the Scope of Work field.

Payment Terms

Client shall pay Planner the Total Fee described below in accordance with the schedule specified. All amounts are in U.S. dollars and exclusive of applicable taxes.

Balance shall be due days prior to the Event Date, unless otherwise agreed in writing.

Late payments shall incur a late fee of per month on the outstanding balance, or the maximum lawful rate if lower, plus any collection costs and attorney fees reasonably incurred to collect overdue amounts.

Term and Termination

This Agreement commences on the Start Date set forth below and continues until all obligations are fulfilled or the Agreement is terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Client may terminate for convenience upon not less than days' written notice, subject to payment of fees for services performed and non‑cancelable vendor commitments incurred prior to termination.

Confidentiality

Each party shall keep confidential all non‑public information disclosed by the other party in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose such information to any third party except on a need‑to‑know basis to its employees, contractors or professional advisors who are bound by confidentiality obligations at least as restrictive as those set forth herein.

Insurance, Indemnity and Liability

Planner shall maintain general liability insurance in commercially reasonable amounts and provide proof of insurance upon Client request. Client shall indemnify, defend and hold harmless Planner and its officers, employees and agents from any third‑party claims arising from Client's negligence, willful misconduct, or breach of this Agreement. Planner's liability for any claim arising under or related to this Agreement shall not exceed the total amounts actually paid by Client to Planner under this Agreement, except to the extent caused by Planner's gross negligence or willful misconduct.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, terrorism, governmental action, labor disputes, or supplier failures (Force Majeure). The affected party shall provide prompt notice of the event and take reasonable steps to mitigate its effects.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. Exclusive venue for any dispute arising out of this Agreement shall be in the state or federal courts located in that jurisdiction.

Entire Agreement; Amendments

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses provided above by hand, certified mail (return receipt requested), or nationally recognized overnight courier, or by electronic mail with confirmation of delivery if previously agreed in writing by the parties.
