WHEREAS, Client intends to host the event described above and requires a block of guest sleeping rooms for attendees; and

WHEREAS, Venue operates the hotel and is willing to reserve a block of guest rooms for Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, rates, reservation procedures, and contractual commitments for the room block to ensure availability and proper accounting.

Termination for Cause: either party may terminate this Agreement if the other party materially breaches and fails to cure within the notice period specified above. Termination does not relieve Client of payment obligations for rooms already reserved or guaranteed prior to termination.

Confidentiality

Each party agrees to keep confidential and not disclose to third parties any non-public business or financial information obtained from the other party in connection with this Agreement, except as required by law or as necessary to perform the obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no wrongful act of the receiving party.

Representations, Liability and Insurance

Venue represents that it has authority to enter into this Agreement and will provide the rooms and services in a commercially reasonable manner. Neither party shall be liable for incidental, consequential or punitive damages except for willful misconduct or gross negligence. Client shall maintain appropriate event liability insurance and provide certificate of insurance upon request.

Cancellation and Attrition

Cancellation by Client must be in writing. If Client cancels the room block after the cutoff date or in violation of the Attrition Allowance above, Client shall be responsible for fees equal to the guaranteed number of rooms multiplied by the applicable rate, less any rooms resold by Venue. Venue will use reasonable efforts to mitigate damages.

Force Majeure

Neither party shall be liable for failure to perform obligations (other than payment obligations) to the extent performance is prevented by acts of God, government action, strikes, civil commotion, epidemics, or other events beyond the party's reasonable control, provided that the affected party promptly notifies the other and uses reasonable efforts to resume performance.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

Entire Agreement: This Agreement, including any attached schedules or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the room block and supersedes all prior proposals, negotiations and communications, whether oral or written. Any modification must be in writing and signed by both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Venue may assign to an affiliate or successor in interest in connection with sale of the property.
