EVENT PLANNING WORK EVENT AGREEMENT

This Event Planning Work Event Agreement (the "Agreement") is made as of between Client Name: and Event Planner: .

WHEREAS

WHEREAS, Client desires to retain Planner to provide event planning and day-of coordination services in connection with the event described below; and

WHEREAS, Planner represents that it possesses the experience, knowledge and personnel necessary to plan and coordinate the Event on the terms set forth herein; and

WHEREAS, the parties desire to set forth the scope, compensation and other terms and conditions governing Planner’s performance.

EVENT DETAILS

SCOPE OF WORK

Planner shall provide professional event planning services for the Event including, at a minimum, the tasks described in this Section. Planner will coordinate with Client and third‑party vendors to deliver the services set forth below and will use commercially reasonable efforts to carry out duties in a timely manner.

PAYMENT TERMS

As consideration for the services, Client shall pay Planner the fees set forth below. All amounts are stated in U.S. dollars unless otherwise noted.

Late payments shall incur a late fee of per month after a grace period of days. Client shall also reimburse Planner for reasonable collection costs, including attorneys' fees, incurred to collect overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon prior written notice to the other party not less than days. In the event of termination for convenience, Client shall pay Planner for all services rendered and expenses incurred through the effective date of termination, together with any non‑cancellable commitments made by Planner on Client’s behalf.

Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential or proprietary information of the other party (collectively, "Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally known to the public through no breach of this Agreement, (ii) was in the receiving party's lawful possession prior to disclosure, or (iii) is rightfully received from a third party without restriction.

The receiving party shall not disclose Confidential Information to any third party without the disclosing party’s prior written consent and shall use Confidential Information solely to perform its obligations under this Agreement. Upon termination or upon written request, the receiving party shall return or destroy Confidential Information and provide written certification of such return or destruction.

INSURANCE AND INDEMNIFICATION

Planner shall maintain commercially reasonable insurance coverage appropriate for the services provided, including general liability and, where applicable, workers' compensation. Planner shall indemnify and hold Client harmless from and against liabilities, claims, losses and expenses (including reasonable attorneys' fees) arising out of Planner's negligence or willful misconduct in performing the services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or exhibits signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any modifications must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Planner may assign to an affiliate or in connection with a sale of substantially all of its business assets.
