EVENT POOL CONTRACT

This Event Pool Contract (the "Agreement") is entered into as of by and between the parties identified below.

PARTIES

WHEREAS

WHEREAS, Organizer intends to hold a private or public event utilizing the pool facilities located at the Pool Owner's premises; and

WHEREAS, Pool Owner has authority to permit use of the pool and represents that the pool is maintained in accordance with applicable health and safety standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Organizer will use the pool for the scheduled event.

SCOPE OF WORK

Pool Owner will provide access to the pool facilities and related amenities and will perform the services described below. Organizer will comply with the rules and restrictions set forth herein.

PAYMENT TERMS

Organizer agrees to pay Pool Owner the total contract sum as set forth below in consideration for the use of the pool and performance of services.

Late Payment: If any payment is not made within five (5) days after the due date, Organizer shall pay a late fee equal to % of the overdue amount per month and/or a flat fee of , whichever is greater.

TERM AND TERMINATION

Either party may terminate for convenience upon written notice delivered at least days prior to the scheduled event. Termination for material breach by either party may be immediate if the breaching party fails to cure within ten (10) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information received from the other party in connection with this Agreement, including financial terms, participant lists, and proprietary operational procedures, and shall not disclose such information except to employees, contractors, or service providers who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential information does not include information that becomes publicly known other than through a breach of this Agreement or information independently developed by a receiving party.

INDEMNIFICATION AND INSURANCE

Organizer shall indemnify, defend and hold harmless Pool Owner and its agents, employees and affiliates from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Organizer's use of the pool, Organizer's acts or omissions, or the acts or omissions of Organizer's guests, invitees or contractors. Pool Owner shall indemnify Organizer for claims arising from Pool Owner's negligent maintenance of the pool facilities.

Insurance: Each party shall maintain commercial general liability insurance covering the event with policy limits not less than per occurrence. Organizer shall provide proof of insurance upon request prior to the event.

SAFETY AND COMPLIANCE

Lifeguards: Organizer and Pool Owner agree that lifeguards shall be present in accordance with applicable law and industry standards. Required lifeguard present: Yes

CANCELLATION AND FORCE MAJEURE

Cancellation by Organizer: If Organizer cancels the event more than the notice period specified in this Agreement, Pool Owner shall return the deposit less any reasonable costs already incurred. If Organizer cancels within the notice period, Organizer may forfeit the deposit and may be responsible for additional cancellation charges as agreed.

Force Majeure: Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, governmental action, epidemic, or other force majeure events. The affected party shall give prompt written notice and the parties shall negotiate in good faith to reschedule or otherwise mitigate the impact.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements. Any modification must be in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above or to such other address as either party may designate by notice to the other in accordance with this provision.
