EVENT POOL PLAN

This Event Pool Plan (the "Plan") is entered into by and between Event Organizer: and Pool Provider: .

WHEREAS

WHEREAS, Event Organizer desires to host an event that will utilize the pool facilities and related services described herein; and

WHEREAS, Pool Provider represents that it is qualified to provide pool operation, lifeguard staffing, safety equipment, and emergency procedures for the Event subject to the terms of this Plan; and

WHEREAS, the parties intend by this Plan to allocate responsibilities, payments, safety protocols, and legal obligations related to the pool operations at the Event.

EVENT DETAILS

SCOPE OF WORK

Pool Provider shall perform the following services in connection with the Event. Provider shall supply qualified personnel, equipment, and documentation as set forth below.

INSURANCE & INDEMNITY

Pool Provider shall maintain commercial general liability insurance and, where applicable, professional liability coverage sufficient to cover operations under this Plan. Event Organizer shall be named as an additional insured where required by the Organizer and under the parties' mutual agreement.

Pool Provider confirms required insurance coverage will be in effect for the duration of the Event and will furnish certificates of insurance upon request.

PAYMENT TERMS

In consideration for performing the services described in this Plan, Event Organizer shall pay Pool Provider as follows:

TERM AND TERMINATION

This Plan commences on Start Date: and continues through End Date: unless earlier terminated as provided herein.

Either party may terminate this Plan for material breach by the other party if the breaching party fails to cure the breach within Notice Period: days after written notice. Termination for convenience by Event Organizer requires advance written notice of days and payment for services performed through the termination date.

CONFIDENTIALITY

Each party shall keep confidential all proprietary information disclosed by the other party in connection with the Plan, including but not limited to operational plans, staffing rosters, security measures, and pricing ("Confidential Information"). Confidential Information shall not include information which is publicly available through no fault of the receiving party or which is independently developed. The receiving party shall use Confidential Information solely to perform its obligations under this Plan and shall not disclose it to third parties except to its employees, contractors, or insurers who have a need to know and who are subject to confidentiality obligations at least as restrictive as those set forth herein.

GOVERNING LAW

This Plan shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws.

ENTIRE AGREEMENT

This Plan, including all attachments and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements, proposals, and communications. Any amendment to this Plan must be in writing and signed by authorized representatives of both parties.
