Recitals

WHEREAS, Vendor is engaged in the business of providing event production, equipment, staffing, and coordination services and possesses the skill, experience, and resources to provide services for special events; and

WHEREAS, Client desires to engage Vendor to provide services for the event described herein and Vendor agrees to provide such services pursuant to the terms of this Event Pricing Quote and the accompanying Agreement provisions set forth below.

NOW, THEREFORE, the parties agree as follows with respect to the services and fees set forth in this document.

Payment Terms

Deposit Required: due upon acceptance to secure the date. Final balance shall be paid in accordance with the schedule below.

Late Payment: Any undisputed amount not paid within days of the due date shall accrue a late fee of per month on the outstanding balance, or the maximum permitted by law, whichever is less.

Term and Termination

This Quote is effective as of the date of acceptance and shall remain valid until unless earlier terminated as provided herein.

Either party may terminate for convenience upon days' prior written notice. Termination for cause may occur immediately upon written notice if the breaching party fails to cure a material breach within days after receipt of notice of such breach.

If terminated prior to completion, Client shall pay Vendor for all services performed and non‑cancelable commitments incurred through the effective date of termination, plus any reasonable demobilization costs.

Confidentiality

Each party shall maintain in confidence all non-public business and technical information disclosed by the other party in connection with this Quote and shall not disclose such information to any third party except as reasonably necessary to perform its obligations hereunder or as required by law. Confidential information shall not include information that is or becomes generally known to the public other than by breach of this provision.

Governing Law; Dispute Resolution

This Quote and any resulting Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. The parties agree to attempt good faith negotiation of any dispute, and if unresolved, to submit disputes to binding arbitration or the courts as selected below.

Entire Agreement

This Quote, together with any attachments, schedules, exhibits and any subsequently executed written agreement referencing this Quote, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Acceptance: Client acknowledges that acceptance of this Quote and payment of any required deposit constitutes Client's agreement to the terms set forth herein and authorizes Vendor to proceed with planning and procurement in reliance on this acceptance.
