WHEREAS, the Organizer agrees to provide event planning, coordination, and program execution services for the Event identified herein under the terms and conditions set forth in this Event Program Schedule; and

WHEREAS, the Client desires to engage the Organizer to produce the Event program, including scheduling, presenters, technical coordination, and on-site management in accordance with the Scope of Work below; and

WHEREAS, the parties intend for this Event Program Schedule to constitute a binding operational attachment to any underlying agreement between the parties and to govern the program content, timing, and payment for the Event.

Late Payment: A late fee of will accrue on any unpaid balance 10 days after an invoiced due date. Interest shall compound monthly where permitted by law.

Termination for Convenience: Either party may terminate this Schedule on written notice to the other party at least days prior to the intended termination date. Termination shall not relieve the Client of payment obligations for services performed prior to termination.

Termination for Cause: Either party may terminate immediately for material breach that remains uncured after 14 days' written notice, or immediately in the event of insolvency or assignment for the benefit of creditors.

Confidentiality

Each party shall keep confidential all nonpublic information disclosed by the other party in connection with the Event and shall not disclose such information to any third party except as necessary to perform obligations under this Schedule or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that was already lawfully known to the receiving party prior to disclosure.

The recipient of confidential information shall use at least the same degree of care to protect such information as it uses to protect its own confidential information, but no less than reasonable care. Upon written request or upon termination, confidential materials shall be returned or certified destroyed.

Governing Law; Entire Agreement

Governing Law: This Event Program Schedule shall be governed by and construed in accordance with the substantive laws of the applicable jurisdiction selected by the parties below. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising under this Schedule.

Entire Agreement: This Schedule, together with any underlying services agreement between the parties, constitutes the entire agreement between the parties regarding the Event program and supersedes all prior and contemporaneous representations, proposals, and agreements, whether written or oral, with respect to the subject matter hereof. Any amendment to this Schedule must be in writing and signed by both parties.

Insurance and Indemnity: The Organizer shall maintain event liability insurance as specified in the underlying agreement. Each party shall indemnify, defend and hold harmless the other party against claims arising from its negligence or willful misconduct in connection with the Event.
