GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising under this Agreement will be resolved in the competent courts located in that State, unless the Parties mutually agree to alternative dispute resolution.

ENTIRE AGREEMENT

This Booking Form, together with any attachments, schedules, and written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and understandings. No modification of this Agreement is effective unless in writing and signed by both Parties.

Indemnification: Each Party agrees to indemnify and hold harmless the other Party from third-party claims arising from its own negligence or willful misconduct in connection with performance under this Agreement. Limitation of Liability: Except for willful misconduct or gross negligence, neither Party will be liable for incidental, consequential, or punitive damages.
