RECITALS

WHEREAS, Organizer plans, promotes, and conducts the event described below and offers registration to attendees under specified terms and conditions; and

WHEREAS, Registrant desires to register for the event and agrees to comply with Organizer rules, payment terms, and other conditions set forth in this Agreement; and

WHEREAS, the parties intend for this written Agreement to set forth the full understanding regarding Registrant's participation and any related services to be provided by Organizer.

PAYMENT TERMS

Registrant shall pay Organizer the fees described below in consideration for registration and any related services.

All fees are non-refundable except as otherwise specified in writing. Organizer may require proof of payment prior to admission.

TERM AND TERMINATION

This Agreement commences on the date of Registrant's signature below and continues through the conclusion of the event unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is publicly available through no fault of the receiving party, independently developed by the receiving party without use of discloser's confidential information, or rightfully received from a third party without breach of an obligation of confidentiality.

The receiving party shall use confidential information only for the purpose of performing obligations or exercising rights under this Agreement and shall not disclose confidential information to any third party except to those employees, agents, or contractors who have a need to know and who are bound by obligations of confidentiality no less protective than those in this Agreement.

LIABILITY, RELEASE, AND INSURANCE

Registrant assumes all risk of personal injury and property loss related to attendance, except to the extent caused solely by Organizer's gross negligence or willful misconduct. Registrant releases Organizer and its officers, agents, and employees from any and all claims arising out of participation in the event, except claims arising from Organizer's gross negligence or willful misconduct.

Organizer may require proof of insurance for certain participants; such requests shall be provided in writing and included as an addendum to this Agreement when applicable.

MEDIA CONSENT

Registrant hereby grants Organizer a non-exclusive, royalty-free license to use photographs, video, and audio recordings of Registrant made in connection with the event for promotional, educational, and archival purposes, unless Registrant checks the box below to withhold consent.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below. Any dispute relating to this Agreement shall be brought exclusively in the state or federal courts located in that jurisdiction, and the parties consent to the personal jurisdiction of such courts.

This Agreement, together with any written attachments or addenda executed by the parties, constitutes the entire agreement between Organizer and Registrant with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations, and understandings. No amendment to this Agreement is effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Organizer may assign to an affiliate or successor.
