EVENT REGISTRATION AGREEMENT

THIS EVENT REGISTRATION AGREEMENT (the "Agreement") is made between the parties identified below and is effective as of the date of the Registrant's signature. This Agreement sets forth the terms and conditions under which the Organizer will provide access to the Event and the Registrant will participate in the Event.

WHEREAS, Registrant: desires to register for and attend the Event on the terms set forth herein; and

WHEREAS, the parties intend by this Agreement to define the rights, obligations, and payment terms related to the Registrant's participation in the Event.

The Organizer will provide the following services, facilities, and access as part of the Event. Registrant acknowledges that the Organizer's obligations are limited to those set forth below and in this Agreement.

Late Payment: A late fee of will apply to any amount not paid within the time prescribed in the payment schedule. Organizer reserves the right to deny Event access until payment is received in full.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for days after written notice. Organizer may cancel the Registrant's registration for failure to pay or for conduct in violation of Organizer policies; refund terms are governed by the Refund Policy below.

CONFIDENTIALITY

Each party agrees that all non-public business, technical, financial or proprietary information disclosed by one party to the other in connection with the Event (collectively, "Confidential Information") shall be kept confidential and used solely for the purposes of performing under this Agreement. The receiving party shall not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement. Confidential Information does not include information that (i) is or becomes generally available to the public other than as a result of disclosure by the receiving party, (ii) was in the receiving party's possession prior to receipt from the disclosing party, or (iii) is rightfully received from a third party without restriction.

LIABILITY, RELEASE, AND INSURANCE

Registrant assumes all risks associated with attendance at the Event except to the extent caused by Organizer's gross negligence or willful misconduct. Registrant hereby releases Organizer and its affiliates, officers, employees, agents, and volunteers from any liability for personal injury, property loss, or other damages arising from Registrant's participation, except where prohibited by law. Registrant is responsible for obtaining their own insurance coverage as desired.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Organizer and shall be subject to the exclusive jurisdiction of the courts located therein. The parties hereby submit to such jurisdiction and waive any jurisdictional or venue defenses to the contrary.

This Agreement, together with any exhibits or referenced materials expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment to this Agreement will be effective unless in writing signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Organizer may assign to an affiliate or successor in connection with a merger or sale of substantially all its assets.
