Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination by Client for convenience must be delivered in writing and is subject to the cancellation charges set forth below.

INSURANCE AND INDEMNIFICATION

Client shall maintain commercial general liability insurance with minimum limits of per occurrence, naming Venue Operator as an additional insured when requested. Client shall provide a certificate of insurance no later than .

Client agrees to indemnify, defend and hold harmless Venue Operator, its officers, agents and employees from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Client's use of the venue, except to the extent caused by Venue Operator's gross negligence or willful misconduct.

CONFIDENTIALITY

During the term of this Agreement and thereafter, each party shall treat as confidential all information disclosed by the other party that is marked confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is (a) publicly available through no fault of the receiving party, (b) already in the receiving party's possession prior to disclosure, or (c) rightfully received from a third party without restriction.

The receiving party may disclose confidential information to its employees, contractors, attorneys and accountants on a need-to-know basis provided such persons are bound by confidentiality obligations at least as protective as those set forth herein.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, governmental actions, pandemics, strikes, or utilities failures. The affected party must promptly notify the other and use commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the parties. Any modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Venue Operator may assign to an affiliated entity.
