Confidentiality

Indemnification and Limitation of Liability

Client shall indemnify, defend and hold Vendor harmless from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, or breach of this Contract. Vendor's liability for any claim arising out of or related to this Contract shall be limited to direct damages not to exceed the total fees paid by Client under this Contract; in no event shall Vendor be liable for consequential, incidental, special or punitive damages.

Force Majeure

Neither party shall be liable for delay or failure to perform its obligations under this Contract if such delay or failure is due to a cause beyond the party's reasonable control, including but not limited to acts of God, government orders, civil unrest, pandemic, or severe weather. The affected party shall provide prompt written notice and make reasonable efforts to mitigate the effect of the force majeure event.

Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles.

Entire Agreement
