Either party may terminate this Agreement for material breach by the other party if the breaching party does not cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of obligations to pay fees accrued prior to termination.

Cancellation Policy

If Client cancels the reservation, cancellation charges apply as follows: cancellations made more than days before the Event result in refund of deposit less administrative fees; cancellations made between and days may forfeit deposit; cancellations within days of the Event may be liable for the full Contract Price.

Confidentiality

Both parties acknowledge that, in connection with this Agreement, they may have access to confidential information. Each party agrees to hold confidential information in strict confidence and not to disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without restriction.

Insurance and Indemnity

Client shall obtain and maintain at its expense insurance coverage customary for events of similar size and scope, naming Provider as additional insured where applicable. Client agrees to indemnify, defend and hold harmless Provider from any liabilities, claims, losses, or expenses (including reasonable attorneys' fees) arising from Client's negligent acts or omissions in connection with the Event.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Venue is located, without regard to conflicts of law principles. Any dispute shall be resolved by the courts of that jurisdiction. This Agreement, including any attachments or amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.

Additional Provisions

Force Majeure: Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, pandemic, government restrictions, labor disputes, or other force majeure events. The affected party shall give prompt written notice to the other and use reasonable efforts to mitigate delay.
