EVENT RESERVATION INCENTIVE AGREEMENT

This Event Reservation Incentive Agreement ("Agreement") is entered into by and between the parties identified below for the provision of venue reservation incentives in connection with the event described herein. The parties agree as follows.

WHEREAS, Provider operates and manages the venue and related services and is willing to grant certain reservation incentives to induce Client to reserve the venue for the event described below; and

WHEREAS, Client desires to reserve the venue and accept the incentive on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

If any checked condition is not satisfied as of the final billing date, Provider may reduce or rescind the incentive in proportion to the unmet condition. Any adjustment will be documented in final invoice or written amendment.

Payment Terms

All late payments shall incur the late fee stated above and interest at the highest rate permitted by law on overdue balances. Provider may withhold incentive credit until all outstanding balances are settled in full.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Termination does not relieve the Client of payment obligations for services rendered or non-cancellable commitments incurred prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public information obtained from the other party in connection with this Agreement and shall not disclose such information to any third party except as required by law or to perform its obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Liability and Indemnification

Provider and Client each agree to indemnify, defend and hold harmless the other party from any third-party claims, damages, or liabilities arising out of the indemnifying party’s negligence or willful misconduct in connection with performance under this Agreement. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

Amendments

Any modification or amendment to this Agreement must be in writing and executed by authorized representatives of both parties. No oral modifications shall be binding.
