EVENT ROADSHOW AGREEMENT

This Event Roadshow Agreement (the "Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, the Producer organizes and presents business roadshows, investor roadshows, and other promotional event series (the "Roadshow") that require coordination of venues, schedules, and promotional materials; and

WHEREAS, the Client desires to retain the Producer to plan, manage and present the Roadshow described herein, and the Producer is willing to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to set forth the scope, payment, confidentiality, and termination rights applicable to the Roadshow engagement.

SCOPE OF WORK

The Producer shall provide event production, venue coordination, scheduling, on-site staffing, promotional support, and other services necessary to present the Roadshow as described below. Detailed deliverables, milestones and performance standards are set forth in the scope description field provided by the parties.

PAYMENT TERMS

In consideration for the services rendered by Producer, Client shall pay the Producer the fees set forth below. All fees are payable in U.S. dollars and are exclusive of applicable sales or other transaction taxes unless otherwise specified.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Upon termination, Client shall pay Producer for all services performed and non-cancellable commitments incurred through the effective date of termination. Termination shall not relieve either party of obligations incurred prior to the effective date, including payment obligations.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence all non-public, confidential or proprietary information disclosed by the other party (the "Disclosing Party") in connection with this Agreement ("Confidential Information") and shall not disclose such Confidential Information to third parties except as required to perform under this Agreement. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was known to the Receiving Party prior to disclosure as demonstrated by written records; or (c) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its employees, contractors and agents on a need-to-know basis provided such persons are bound by confidentiality obligations no less protective than those set forth herein. Upon termination or written request, the Receiving Party shall return or certify destruction of Confidential Information, except to the extent retention is required by law or for archival backup.

INSURANCE, INDEMNIFICATION AND LIABILITY

Producer shall maintain commercial general liability insurance and event liability coverage in amounts customary for comparable events and shall provide evidence of insurance upon reasonable request. Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's negligent acts, willful misconduct, or material breach of this Agreement, subject to applicable limitations and exclusions.

Except for indemnification obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and overall liability shall be limited to direct damages not to exceed the total fees paid under this Agreement for the applicable event series.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform to the extent such delay or failure is caused by events beyond its reasonable control, including acts of God, strikes, governmental orders, pandemics, natural disasters, or other force majeure events. The affected party shall promptly notify the other and use commercially reasonable efforts to mitigate the effects of the event.

COMPLIANCE WITH LAWS; PERMITS

Each party shall comply with applicable laws, rules, ordinances and regulations in connection with performance under this Agreement. The Producer shall procure any permits or licenses required for the production of the Roadshow unless otherwise agreed in writing. Client shall cooperate and provide approvals in a timely manner.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: , without regard to its conflicts of law principles. The parties agree to negotiate in good faith to resolve disputes, and either party may seek equitable relief in a court of competent jurisdiction when necessary to preserve rights or prevent irreparable harm.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any written exhibits and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger, sale of substantially all assets or similar transaction.
