This Agreement shall commence on and expire on , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Material breach not cured within 30 days of written notice shall permit the non-breaching party to terminate immediately.

Cancellation Policy

Confidentiality

Each party agrees that all non-public information disclosed by one party to the other in connection with this Agreement, including rooming lists, guest information, pricing, and internal policies, constitutes Confidential Information. The receiving party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose such information to third parties except to its employees and agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidential Information shall not include information that is generally known to the public other than by breach of this Agreement or that is rightfully received from a third party without restriction.

Indemnification & Liability

Each party shall indemnify and hold harmless the other from and against any claims, losses, liabilities, costs and expenses arising out of its negligent acts or omissions or willful misconduct in connection with performance under this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for consequential, incidental, or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles.

Entire Agreement

This Agreement, together with any written attachments or confirmed amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification shall be effective unless in writing and signed by authorized representatives of both parties.
