WHEREAS, the parties intend that this document set forth the mutually agreed scope, schedule, payment terms and other material terms governing the services provided for the Event.

4. PAYMENT TERMS

The Client shall pay the Service Provider the fees and on the schedule set forth below. All monetary amounts are in the agreed currency.

5. TERM AND TERMINATION

This Agreement commences on Start Date and continues until completion of the services described herein or until the End Date, whichever occurs first, subject to termination as provided below.

6. CONFIDENTIALITY

Each party shall keep confidential all Proprietary Information disclosed by the other party in connection with this Agreement. "Proprietary Information" includes non-public business, financial, technical and operational information, event guest lists, pricing and vendor terms. Confidential information shall not be disclosed except to affiliates, employees or contractors with a need to know, provided such persons are bound by confidentiality obligations at least as protective as those set forth herein. The obligations of confidentiality survive termination for a period of three (3) years.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

8. ENTIRE AGREEMENT

This Agreement, including the Event Schedule and any written attachments executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by both parties.

9. ADDITIONAL TERMS

Liability: Except for willful misconduct or gross negligence, neither party shall be liable for incidental, consequential or punitive damages. The Service Provider's aggregate liability for direct damages shall not exceed the total fees paid under this Agreement.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to all or substantially all of its business.
