This Event Scheduling Template and General Business Agreement ("Agreement") is entered into by and between Organizer Name: and Service Provider Name: .

WHEREAS, Organizer wishes to schedule and manage the Event described below and requires scheduling, coordination, and related administrative services; and

WHEREAS, Service Provider represents that it has the personnel, expertise, and capacity to perform scheduling, coordination, and the services set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, payment, term, and other material terms governing the scheduling engagement.

Scope of Work

Service Provider shall provide scheduling, coordination, and related administrative services for the Event as expressly described in the Scope of Work below. Services shall include assignment of a primary coordinator, production of a detailed run-of-show, vendor liaison, timeline management, and day-of coordination as agreed.

Payment Terms

Organizer shall pay Service Provider the fees set forth below in consideration for the services. All amounts are stated in US dollars and exclusive of applicable taxes unless otherwise stated.

Late Payment: Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and shall be subject to a late fee of per month. Organizer is responsible for collection costs and reasonable attorneys' fees incurred to collect overdue amounts.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days' written notice. In addition, Organizer may terminate without cause upon payment of fees earned and reasonable wind-down costs as calculated in good faith by Service Provider.

Confidentiality

Each party shall treat as confidential all nonpublic information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is or becomes public through no fault of the receiving party, was rightfully known to the receiving party prior to disclosure, or is independently developed without reference to the disclosing party's Confidential Information.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and contractors with a need to know and subject to confidentiality obligations; and (c) take commercially reasonable measures to protect Confidential Information. Remedies at law may be inadequate to redress a breach; the disclosing party may seek injunctive relief in addition to other remedies.

Liability and Insurance

Service Provider's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Organizer to Service Provider under this Agreement. In no event shall either party be liable for consequential, incidental, special, or punitive damages. Service Provider shall maintain general liability insurance and, upon request, provide proof of coverage.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve disputes by negotiation; if unresolved within 30 days, disputes shall be resolved by binding arbitration conducted in the county where Organizer's principal place of business is located, unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, together with any exhibits and the Scope of Work set forth above, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment or waiver shall be effective unless in writing and signed by both parties.

Miscellaneous

Independent Contractor: Service Provider is an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, or joint venture relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all of the assigning party's assets.

Acceptance

The parties acknowledge that they have read and understood this Agreement, that they are authorized to enter into it, and that execution by digital or handwritten signature below constitutes a binding agreement.
