Recitals

WHEREAS, Service Provider represents that it has the expertise, personnel, and authority to provide seating layout, assignment and implementation services in accordance with the terms of this Agreement; and

WHEREAS, the parties wish to set forth their respective responsibilities, fees, and the seating plan specifications in writing.

Scope of Work

Service Provider shall provide seating design, assignment, and on-site implementation services including but not limited to layout diagrams, labeled seating charts, guest seat assignments, VIP and accessible seating allocation, and coordination with venue staff. Specific tasks include:

All amounts payable under this Agreement are exclusive of applicable sales or other taxes, which shall be the responsibility of the party required by law to remit such taxes unless otherwise stated in writing.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Either party may terminate for convenience upon days prior written notice; Client remains responsible for costs and services rendered through the effective date of termination.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement, including guest lists, seating assignments, pricing and security arrangements. Confidential information shall not be disclosed except to employees, contractors or venue personnel who have a bona fide need to know, and who are bound by confidentiality obligations at least as restrictive as those contained herein. Confidentiality obligations shall not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or is required to be disclosed by law.

Liability; Indemnity; Insurance

Service Provider shall exercise reasonable care in preparing seating plans and implementing arrangements. Client acknowledges that the venue and local authorities set safety and capacity requirements; Client shall indemnify and hold Service Provider harmless from liability arising from Client's failure to comply with venue requirements or from inaccurate guest information provided by Client. Service Provider shall maintain commercial general liability insurance in amounts customary for the industry and provide proof of insurance upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State: without regard to conflict of laws principles.

Entire Agreement; Amendments

This Agreement, including any attachments or seating diagrams expressly incorporated in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. Any modification must be in writing and signed by authorized representatives of both parties.
