Recitals

WHEREAS, Client desires to retain Service Provider to provide event planning, coordination and related services for the event(s) described in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the expertise and resources necessary to provide such services and to procure third-party vendors on behalf of Client in accordance with selections made on this form; and

WHEREAS, the parties desire to set forth the scope of services, selections, fees and terms governing their relationship in this Agreement.

Event Selections & Services

Select the services and options to be provided by Service Provider. Selection serves as Client's authorization for Service Provider to arrange corresponding goods and third-party services subject to Payment Terms and any vendor contracts.

Scope of Work

Service Provider shall perform the services described below and procure third-party goods and services as authorized by Client selections on this form. All services shall be performed in a professional manner consistent with industry standards.

Payments shall be made by the method accepted by Service Provider. Client authorizes Service Provider to charge incurred vendor fees to Client where authorized selections require third-party booking.

Any amount not received by the date due shall accrue interest at a rate of and Client shall be responsible for reasonable collection costs, including attorney fees, incurred to collect overdue amounts.

Term and Termination

This Agreement commences on and shall terminate on unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Service Provider may terminate immediately for cause if Client fails to pay when due or materially breaches this Agreement and fails to cure within ten (10) days of written notice of the breach.

Confidentiality

Each party agrees that it shall not disclose confidential or proprietary information of the other party disclosed in connection with this Agreement, except to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Confidential information does not include information that is publicly available other than by breach of this Agreement, independently developed without use of the other's confidential information, or rightfully received from a third party without restriction. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years.

Liability and Insurance (Summary)

Service Provider shall maintain general liability insurance in amounts customary for the industry. Client is responsible for loss or damage to venue or equipment caused by attendees unless such loss is caused by Service Provider's gross negligence or willful misconduct. Nothing in this Agreement limits either party's liability for gross negligence, willful misconduct, or any liability that cannot be limited by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including the selections, estimates and any incorporated vendor agreements, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

By signing below, Client authorizes Service Provider to proceed with arrangements consistent with the selections on this form and acknowledges that deposits and third-party vendor commitments may be non-refundable.
