EVENT SEMINAR MEETING AGREEMENT

This Event Seminar Meeting Agreement (the Agreement) is made and entered into as of by and between:

WHEREAS

WHEREAS, Organizer conducts events and seminars for professional, educational and promotional purposes and desires to retain Presenter to provide certain seminar, meeting and presentation services pursuant to the terms of this Agreement; and

WHEREAS, Presenter has the qualifications, experience and ability to deliver the services described in this Agreement, including preparation, presentation, and attendance at the Event; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

Presenter shall provide the following services, deliverables and obligations in connection with the Event. Presenter agrees to perform professional preparation, presentation, and any agreed follow-up activities in accordance with the schedule and specifications set forth below.

PAYMENT TERMS

Organizer shall pay Presenter the fees and reimbursements set forth below in consideration for the services rendered. All amounts are stated in United States dollars unless otherwise indicated.

TERM AND TERMINATION

This Agreement commences on the Start Date and shall terminate on the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Organizer may terminate without cause by providing the stated notice and paying any non-cancellable expenses and any earned but unpaid fees through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by one party to the other that is designated in writing as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes attendee lists, attendee contact details, unpublished presentation materials, trade secrets, and business plans.

Receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to its employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidentiality obligations shall not apply to information that is (i) already in the public domain through no fault of the receiving party, (ii) rightfully known to the receiving party prior to disclosure, (iii) independently developed without use of the disclosing party's Confidential Information, or (iv) required to be disclosed by law, provided that the receiving party gives prompt notice to the disclosing party and cooperates in any available protective measures.

INSURANCE AND INDEMNIFICATION

Presenter shall maintain general liability insurance in commercially reasonable amounts and, upon request, provide proof of insurance. Presenter shall indemnify and hold Organizer harmless from and against any third-party claims arising from Presenter's negligent acts or willful misconduct in performing the services under this Agreement, except to the extent caused by Organizer's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and written statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be binding unless executed in writing by both parties.

MISCELLANEOUS PROVISIONS

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand, certified mail, or recognized overnight courier service. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Organizer may assign to an affiliate or successor in interest.
