Event Services Contract

This Event Services Contract ("Agreement") is made and entered into as of , by and between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing event services including but not limited to production, staging, sound, lighting, and on-site coordination; and

WHEREAS, Client desires to retain Service Provider to perform event services in connection with Client's event described below, and Service Provider agrees to provide such services under the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider will provide the following services for the Event. Services shall include the tasks described below and any additional tasks expressly agreed in writing by the parties.

Payment Terms

Balance Due: $, payable no later than days before the Event.

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of , and Service Provider may suspend services until payment is received.

Additional costs for travel, accommodation, permits, or third-party rentals not included in the Total Fee will be billed to Client upon prior written approval and are due within days of invoice.

Term and Termination

Term: This Agreement commences on the Effective Date set forth above and shall continue until completion of the services and final payment, but in no event later than unless earlier terminated in accordance with this Agreement.

Termination for Cause: Either party may terminate upon written notice if the other party materially breaches any obligation and such breach remains uncured for days after written notice specifying the breach.

Termination Without Cause: Client may terminate without cause by providing written notice at least days prior to the Event and shall remain responsible for all non‑refundable costs and a cancellation fee as set forth herein.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, including pricing, technical specifications, trade secrets, and business plans.

Obligations: Each party shall (a) maintain Confidential Information in strict confidence, (b) not use Confidential Information except to perform obligations under this Agreement, and (c) disclose Confidential Information only to employees, contractors, or agents who need access to perform the Agreement and who are bound by confidentiality obligations no less protective than those herein.

Exceptions: Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, or that is rightfully received from a third party without restriction.

Insurance and Indemnification

Insurance: Service Provider shall maintain commercial general liability insurance with limits not less than per occurrence and, where applicable, workers' compensation coverage. Certificates shall be provided upon request.

Indemnification: Each party agrees to indemnify, defend, and hold harmless the other party, its officers, employees, and agents from claims, liabilities, losses, and expenses arising from the indemnifying party's negligence or willful misconduct in connection with performance of this Agreement.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, labor disputes, government actions, or public health emergencies. The affected party shall provide prompt written notice and shall use commercially reasonable efforts to resume performance.

Compliance; Permits

Client shall secure all permits, licenses, permissions, and consents required by venue or applicable law unless otherwise agreed in writing. Service Provider will comply with venue rules and applicable laws while performing services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement; Amendments

This Agreement, including any attachments or statements of work incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.

Severability; Survival

If any provision is held unenforceable, the remainder of this Agreement shall remain in full force and effect. Any provision that by its nature survives termination shall so survive.
