WHEREAS, Vendor is engaged in the business of providing rental equipment, event staffing, and related services for public and private events; and

WHEREAS, Client desires to rent equipment and procure services from Vendor for the Event described below, and Vendor agrees to provide such rental equipment and services under the terms and conditions set forth in this Agreement.

Late Payment: Any payment not received by the Final Payment Due date shall bear interest at per month (or the maximum lawful rate) and Vendor may suspend performance or withhold equipment until payments are current. Client is responsible for all collection costs, including reasonable attorneys' fees.

Either party may terminate this Agreement for material breach upon written notice if the breaching party fails to cure within days after receipt of notice. Client's failure to make timely payments constitutes a material breach. If Client cancels within the cancellation period set forth below, applicable cancellation fees will apply.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive or become aware of confidential information of the other party. "Confidential Information" includes pricing, client lists, technical specifications, business strategies, and other non-public information. Each party agrees to keep such information confidential, to use it only for performance under this Agreement, and to limit disclosure to employees or agents who need to know and who are bound by confidentiality obligations no less protective than those herein. The confidentiality obligations shall survive for a period of three (3) years following termination of this Agreement, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INSURANCE, INDEMNIFICATION & LIABILITY

Vendor shall maintain commercial general liability insurance in amounts acceptable to Client and shall provide proof of insurance upon request. Client shall indemnify and hold Vendor harmless from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, or breach of this Agreement. Vendor's liability for damages arising from Vendor's negligence shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement. Neither party shall be liable for consequential, incidental, punitive, or special damages except for willful misconduct or gross negligence.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising out of this Agreement shall be the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the Event and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree to attempt in good faith to resolve disputes first through mediation prior to initiating litigation.
