WHEREAS, Organizer is conducting the event described below and requires certain services from Service Provider to support event operations and attendee safety; and

WHEREAS, Service Provider has the experience and resources to provide the services described in this Agreement and Organizer desires to retain Service Provider on the terms set forth herein; and

WHEREAS, this document also functions as the official attendee sign-in and acknowledgment record for the event and the terms contained herein are binding upon the parties and attendees who sign below.

Service Provider shall perform the following services in connection with the event. The scope below identifies minimum deliverables; additional items may be attached as addenda and become part of this Agreement when signed by both parties.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice. Termination for convenience by Organizer requires days' prior written notice and payment for services performed to date.

Confidentiality

Each party shall protect the confidential information of the other party with at least the same degree of care as it protects its own confidential information, and in no event less than reasonable care. Confidential information does not include information which is or becomes public without breach, is already lawfully in the receiving party's possession, or is independently developed without use of the disclosing party's confidential information. This obligation survives termination for a period of three (3) years.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by Organizer: , without regard to its conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, understandings, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
