This Event Sign-Up Letter (the "Agreement") is entered into by and between:

Recitals

WHEREAS, Organizer operates and manages events, programs and related activities and offers services, facilities and coordination for scheduled events; and

WHEREAS, Participant desires to register for and participate in the event described below on the terms and conditions set forth in this Agreement; and

WHEREAS, Organizer and Participant agree that the performance of the obligations and the provision of services related to the event shall be governed by the terms set forth herein.

Late Payment: If any payment is not received by the due date, Organizer may assess a late fee of of the overdue amount per month or the maximum permitted by law, whichever is less.

Either party may terminate this Agreement for material breach by the other party upon written notice and a right to cure of days. Organizer may cancel the event for reasons of force majeure, public safety, or venue unavailability; in such cases, Organizer will provide prompt written notice and will refund any prepaid amounts for services not rendered, subject to set-off for non‑refundable third-party costs.

Confidentiality

Each party acknowledges that during performance it may receive confidential or proprietary information of the other party. Except as required by law, neither party shall disclose such information to third parties or use it for any purpose other than performance under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed without reference to the disclosing party's confidential information. The obligations set forth in this section shall survive termination of this Agreement for a period of two (2) years.

Liability and Insurance (Summary)

Participant agrees to be responsible for its acts and omissions in connection with the event. Participant shall maintain appropriate insurance coverage (including general liability) and provide proof of insurance upon Organizer's request. Organizer's liability for any claim arising out of this Agreement shall be limited to the amount of fees actually paid by Participant to Organizer for the specific event, except in cases of willful misconduct or gross negligence.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the event and supersedes all prior or contemporaneous representations, negotiations, and agreements, whether written or oral. Any amendment must be in writing signed by authorized representatives of both parties.

Acknowledgment and Certification

By signing below, Participant certifies that the information provided in this Event Sign-Up Letter is true and correct, that Participant has the authority to enter into this Agreement, and that Participant accepts and will comply with the terms and conditions set forth herein. Organizer's execution constitutes acceptance of Participant's registration and creates a binding agreement between the parties.
