RECITALS

WHEREAS, Client wishes to retain Provider to furnish on-site event emergency response, medical support and related services (the "Services") for the event described herein; and

WHEREAS, Provider is qualified, licensed and experienced to provide emergency response, medical and safety staffing for public and private events and agrees to provide such Services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, termination and other material provisions governing Provider's performance and Client's obligations.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. Provider may immediately terminate for cause if Client fails to pay amounts due or if Provider reasonably determines that Client's event conditions present an imminent danger to staff.

CONFIDENTIALITY

Each party agrees that it shall hold in confidence all non-public business information, records and materials provided by the other party in connection with this Agreement (collectively, "Confidential Information"). Confidential Information shall not include information that is (a) known to the receiving party at the time of disclosure, (b) becomes publicly available through no breach of this Agreement, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information. The receiving party shall use Confidential Information only for performance of obligations under this Agreement and shall limit disclosure to employees and agents having a need to know and bound by confidentiality obligations at least as restrictive as those herein.

INSURANCE, INDEMNITY & LIABILITY

Provider shall maintain, at its expense, appropriate liability and professional insurance coverages during the term of this Agreement. Client shall provide evidence of event insurance and name Provider as an additional insured where requested. Client agrees to indemnify and hold harmless Provider, its officers, employees and agents, from and against all claims, liabilities, damages and expenses (including reasonable attorney fees) arising out of Client's negligence or willful misconduct, except to the extent caused by Provider's gross negligence or willful misconduct. Provider's total aggregate liability under this Agreement shall not exceed the total fees paid by Client to Provider for the Services performed under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified by Client below. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located in that state, and the parties submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

By executing this Agreement, Client certifies that the information provided in this registration is true and complete to the best of Client's knowledge, that Client has the authority to retain Provider for the Event, and that Client accepts the terms and conditions contained herein.
