EVENT SPEAKER AGREEMENT

This Event Speaker Agreement (the Agreement) is entered into as of (the Effective Date), by and between:

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Speaker shall provide the speaking services described below (Services) at the Event and shall perform in a professional manner consistent with industry standards.

2. PAYMENT TERMS

Organizer shall pay Speaker total compensation of $ for the Services, subject to the following schedule:

Unless otherwise specified, Speaker is an independent contractor and is solely responsible for all taxes and withholdings arising from compensation under this Agreement.

3. RECORDING, MARKETING, AND MATERIALS

Organizer may record the presentation and related materials. If recorded, Speaker grants Organizer a non-exclusive, royalty-free license to use, reproduce, and distribute the recording for promotional and post-event purposes, subject to any limitations set forth below.

4. TERM AND TERMINATION

This Agreement commences on and expires on , unless earlier terminated pursuant to this Section.

Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days of written notice specifying the breach. Termination for cause does not relieve the breaching party of obligations incurred prior to termination.

5. CONFIDENTIALITY

Each party shall keep confidential all non-public information provided by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement, is rightfully received from a third party, or is independently developed without use of the other party's Confidential Information.

6. INSURANCE, INDEMNITY AND WARRANTIES

Speaker represents and warrants that Speaker has the right to enter into this Agreement and that Speaker's presentation and materials will not infringe any third party rights. Speaker agrees to indemnify and hold harmless Organizer from and against any third-party claims arising from Speaker's breach of this Agreement, negligence, or willful misconduct. Organizer shall indemnify Speaker for Organizer's breach or negligence in connection with Organizer's obligations.

Speaker shall maintain commercial general liability insurance or equivalent coverage as appropriate to the engagement. Proof of insurance shall be provided upon request.

7. INTELLECTUAL PROPERTY

Speaker retains copyright in original materials delivered by Speaker. Speaker grants Organizer a limited, non-exclusive license to use Speaker's materials and any recordings for Organizer's internal, promotional, and archival purposes, unless otherwise agreed in writing. Any broader use, resale, or sublicensing requires Speaker's prior written consent and may be subject to additional compensation.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement, together with any expressly referenced attachments or schedules, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment must be in writing and executed by both parties.

10. MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other's prior written consent, except that Organizer may assign to an affiliate or successor in interest.
