EVENT SPEAKER CONTRACT

This Event Speaker Contract ("Agreement") is entered into by and between:

RECITALS

WHEREAS, Client organizes the event described below and desires to engage Speaker to deliver a presentation in accordance with the terms set forth in this Agreement; and

WHEREAS, Speaker represents that Speaker has the professional qualifications, experience, and capacity to perform the services described in this Agreement and agrees to provide such services on the terms described herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the engagement.

ENGAGEMENT

Client hereby engages Speaker, and Speaker accepts such engagement, to perform the services described in this Agreement for the event titled to be held at .

SCOPE OF WORK

COMPENSATION AND EXPENSES

Client shall pay Speaker compensation in the total amount of (USD). Payment shall be made according to the following schedule:

Any amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Late payments shall also be subject to a late administration fee of .

Unless otherwise agreed in writing, Speaker is responsible for all taxes arising from payments made under this Agreement. Client may withhold taxes where required by applicable law.

TERM AND TERMINATION

This Agreement commences on Month Day Year and continues until Month Day Year , unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Upon termination for convenience, Client will pay Speaker for services performed and reasonable non-cancelable expenses incurred through the effective date of termination.

Either party may terminate this Agreement immediately for material breach if the breaching party fails to cure such breach within 10 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years thereafter, each party shall hold in strict confidence and not disclose to any third party Confidential Information of the other party. "Confidential Information" means non-public business, technical, or financial information disclosed in written, oral, or electronic form, including unpublished presentation materials and attendee lists. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully received from a third party without restriction; (c) was already known by the receiving party prior to disclosure; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates in any lawful efforts to limit disclosure.

INTELLECTUAL PROPERTY AND RECORDING

Speaker retains all right, title, and interest in any materials, slides, or original content provided by Speaker, subject to a license to Client to distribute copies to event attendees for internal use only. Client shall not publish, reproduce for commercial sale, or otherwise exploit Speaker's materials without Speaker's prior written consent. Client may record Speaker's presentation only with Speaker's prior written approval and subject to agreed usage rights and compensation.

INDEPENDENT CONTRACTOR

Speaker is an independent contractor and not an employee of Client. Speaker is solely responsible for all taxes, insurance, and benefits related to performance under this Agreement. Nothing in this Agreement creates an agency, partnership, joint venture, or employer-employee relationship.

INDEMNIFICATION

Each party agrees to indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, understandings, and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor entity.
