Recitals

WHEREAS, Organizer Name: is hosting an event described herein to which Speaker Name: will provide a presentation; and

WHEREAS, the parties wish to set forth Speaker obligations, logistical requirements and financial terms governing the presentation, recording, and use of Speaker materials at the event.

Event Details

Scope of Work

Speaker shall prepare and deliver the presentation described above and provide any agreed materials to Organizer by the Materials Due Date set forth below. Speaker obligations include the timely delivery of presentation slides, participation in scheduled rehearsals, and cooperation with Organizer staff for AV setup.

Audiovisual and Technical Requirements

Organizer will provide basic AV as indicated below. Speaker must notify Organizer of any nonstandard technical requirements at least the number of days indicated in the Notice Period section below.

Recording and Use of Materials

Organizer may audio- and/or video-record the presentation and may use Speaker's slides, handouts, and recorded presentation for promotional, archival, educational, and distribution purposes. Any use beyond these purposes requires separate written consent from Speaker unless the parties agree in writing otherwise.

If Speaker objects to recording or to specific downstream uses, Speaker must indicate objection below and specify limitations.

Payment Terms

In consideration for the services described herein, Organizer agrees to pay Speaker an honorarium under the following terms. Payment is contingent on Speaker's performance and delivery of agreed deliverables.

Term and Termination

This agreement commences on the Start Date below and terminates upon completion of the Speaker's obligations unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within a reasonable cure period not to exceed the notice period set above. Termination for cause does not relieve the breaching party of liabilities incurred prior to termination.

Confidentiality

Each party shall maintain confidentiality of the other party's proprietary or confidential information disclosed in connection with this engagement. Confidential information does not include information that is or becomes publicly available through no breach of this agreement, or information lawfully received from a third party without restriction.

Speaker agrees not to disclose attendee lists, pricing terms, or private Organizer materials without prior written consent. Remedies for breach include injunctive relief and reimbursement of reasonable attorneys' fees.

Code of Conduct and Materials

Speaker shall conduct the presentation in a professional manner consistent with Organizer's code of conduct. Speaker warrants that materials do not infringe third-party intellectual property rights and indemnifies Organizer for claims arising from such infringement.

Speaker certifies that presentation content complies with the code of conduct and is original or properly licensed.

Governing Law; Dispute Resolution

This agreement is governed by the substantive laws of the jurisdiction indicated below without regard to conflict-of-law rules. Parties agree to attempt in good faith to resolve disputes through negotiation prior to initiating litigation.

Indemnification

Speaker agrees to indemnify, defend and hold Organizer harmless from claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Speaker's negligence, willful misconduct, or breach of warranty, including intellectual property infringement.

Entire Agreement

This document, together with any attached exhibits or written schedules signed by both parties, constitutes the entire agreement between Organizer and Speaker with respect to the subject matter herein and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Neither party may assign this agreement without the other party's prior written consent, except that Organizer may assign to an affiliated event operator. If any provision is held unenforceable, the remainder will remain in full force and effect.
