EVENT SPEAKER REGISTRATION AND SPEAKER AGREEMENT

This Event Speaker Registration and Speaker Agreement ("Agreement") is made between the parties identified below for the provision of speaker services at the event described herein. The parties acknowledge and agree to the terms and conditions set forth in this document.

WHEREAS

WHEREAS, Organizer engages experienced presenters to deliver presentations, workshops, or panels in connection with Organizer's events; and

WHEREAS, Speaker represents that Speaker possesses the qualifications, expertise, and experience necessary to present at the Event and is willing to provide such services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

SCOPE OF WORK

Speaker shall prepare and deliver the session described above, provide any required slides or presentation materials by the deadlines communicated by Organizer, and participate in reasonable promotional activities as requested. Detailed scope, deliverables, and deadlines are set forth below.

COMPENSATION & PAYMENT TERMS

Organizer agrees to pay the fees set forth below in return for the Speaker's performance of the obligations in this Agreement.

TERM AND TERMINATION

This Agreement commences on the dates set forth below and shall continue until completion of the Event obligations, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period specified above. Termination shall not relieve either party of obligations incurred prior to termination, including payment obligations for services already performed.

CONFIDENTIALITY

The parties acknowledge that in the course of performance one party may disclose confidential or proprietary information to the other. Each receiving party shall protect such confidential information with at least the same degree of care as it protects its own confidential information, shall not use the information for any purpose other than performance under this Agreement, and shall not disclose it to third parties except as required by law.

Speaker acknowledges that certain event materials, attendee lists, and proprietary event processes are confidential to Organizer and agrees not to disclose such information without Organizer's prior written consent.

INTELLECTUAL PROPERTY & RECORDINGS

Speaker retains copyright in original materials created by Speaker. Speaker grants Organizer a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display presentation materials and recordings of Speaker's session for promotional, educational, or archival purposes, unless otherwise agreed in writing.

Speaker consents to audio and video recording and distribution as described above.

REPRESENTATIONS, WARRANTIES & INDEMNIFICATION

Speaker represents and warrants that Speaker's presentation will be original and will not infringe the rights of third parties. Speaker agrees to indemnify and hold Organizer harmless from any claims, damages, or expenses arising from Speaker's breach of this representation or Speaker's negligent or willful acts or omissions.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction indicated below. Any dispute arising under this Agreement shall be resolved in the courts of that jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, oral or written. Any amendments must be in writing and signed by both parties.

ACKNOWLEDGMENT AND ACCEPTANCE
