CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is publicly available through no breach of this Agreement, already known by the receiving party, independently developed without reference to the disclosing party's confidential information, or rightfully obtained from a third party without restriction.

INSURANCE, INDEMNIFICATION & LIABILITY

Speaker shall indemnify, defend and hold harmless Organizer and its affiliates from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Speaker's acts or omissions in performing under this Agreement, except to the extent caused by Organizer's gross negligence or willful misconduct.

Insurance Required: Speaker shall maintain general liability insurance with limits of no less than and provide proof upon request.
