EVENT SPEAKING AGREEMENT

This Event Speaking Agreement (the "Agreement") is made effective as of by and between:

WHEREAS, Organizer is producing an event known as to be held on at .

WHEREAS, Speaker is willing to provide a presentation and related services described herein and Organizer desires to retain Speaker on the terms set forth below.

Scope of Work

Speaker shall prepare and deliver a presentation and related materials consistent with the purpose of the Event. The scope includes speaking for the duration specified, participation in any scheduled panel or Q&A, and reasonable pre-event coordination with Organizer as set forth below.

Payment Terms

Unless otherwise agreed in writing, Organizer shall be responsible for payment of fees stated above. Any expenses (travel, lodging, materials) to be reimbursed shall be pre-approved in writing and submitted with receipts within thirty (30) days of the Event.

Term and Termination

This Agreement commences on and terminates on , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for after written notice. Organizer may terminate without cause upon written notice; in such event Organizer shall pay Speaker for all services performed and non-recoverable, pre-approved expenses incurred through the termination date.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes public other than by wrongful disclosure, (b) was rightfully known to the recipient prior to disclosure, or (c) is independently developed by the recipient without use of the discloser's Confidential Information.

Intellectual Property and Use of Materials

Speaker retains copyright in original materials created by Speaker unless otherwise assigned in writing. Organizer may record or reproduce Speaker's presentation only with Speaker's prior written consent. If Organizer obtains consent, Organizer's use shall credit Speaker and shall be limited as set forth in writing between the parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

Entire Agreement and Amendments

This Agreement, including any schedules or written attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnified party.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth above or to such other address as a party designates by notice in accordance with this section. Notice is effective upon receipt.
