EVENT SPEAKING ENGAGEMENT AGREEMENT

This Event Speaking Engagement Agreement ("Agreement") is made between the parties set forth below effective as of the dates of signature. The parties agree as follows:

WHEREAS, Organizer is hosting an event and desires to engage Speaker to deliver a presentation at the event on the terms set forth herein; and

WHEREAS, Speaker represents that Speaker has the qualifications, experience, and ability to perform the services described in this Agreement and is willing to provide such services as an independent contractor; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

Speaker shall perform the following services at the Event and shall deliver the deliverables described below. Speaker shall be responsible for preparing materials and presenting in a professional manner consistent with Speaker's customary standards.

Payment Terms

As full compensation for the services described in this Agreement, Organizer shall pay Speaker the total fee set forth below, subject to the schedule and conditions described herein.

Deposit Due Date:

Late Payment Fee: Organizer shall pay interest on any overdue amounts at a rate of % per month, commencing after a grace period of days past due. In addition, Organizer will reimburse Speaker for reasonable collection costs, including attorneys' fees.

Travel, Accommodation and Expenses

Organizer shall be responsible for Speaker's reasonable travel and lodging expenses as follows:

Recording, Promotion and Intellectual Property

Unless otherwise agreed in writing, Speaker grants Organizer a non-exclusive, worldwide, royalty-free license to record and use audiovisual recordings and photographs of the Presentation for internal promotion, post-event marketing, and archival use, provided that such use credits Speaker and does not materially alter the Presentation. Any other commercial use requires Speaker's prior written consent and additional compensation.

Cancellation and Termination

Either party may terminate this Agreement as provided below. Termination does not relieve Organizer of the obligation to pay for services performed or non-cancellable commitments incurred prior to termination.

Cancellation by Organizer: If Organizer cancels the engagement more than days before the Event, Organizer shall forfeit the deposit only. If Organizer cancels within days of the Event, Organizer shall pay % of the Total Fee as a cancellation fee.

Cancellation by Speaker: If Speaker cancels, Speaker shall provide prompt notice and will use reasonable efforts to secure a comparable substitute acceptable to Organizer. If no substitute is secured, Speaker shall return any amounts previously paid and reimburse Organizer for documented, non-recoverable expenses.

Term and Termination

This Agreement shall commence on the Effective Date and continue until completion of the services and final payment, unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party, subject to payment for work performed and non-cancellable commitments.

Confidentiality

Each party acknowledges that, in connection with this Agreement, it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form. Each recipient party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but not less than reasonable care; (b) not use Confidential Information except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as permitted herein. Confidentiality obligations survive termination for a period of three (3) years.

Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from its gross negligence or willful misconduct in performing under this Agreement. Speaker shall maintain general liability insurance with limits customary for speaking engagements and, upon request, provide Organizer a certificate of insurance.

Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, pandemics, government orders, strikes, or severe weather. The affected party shall promptly notify the other and use reasonable efforts to mitigate the effect of such event.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve any dispute by negotiation prior to initiating litigation.

Independent Contractor

Speaker is an independent contractor and not an employee, partner or agent of Organizer. Speaker shall be solely responsible for all taxes and withholdings applicable to amounts paid under this Agreement.

Notices

Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
