EVENT SPEAKING ENGAGEMENT CONTRACT

RECITALS

WHEREAS, Organizer is hosting an event and requires the services of a qualified speaker to present at the Event described below; and

WHEREAS, Speaker is willing to provide a presentation and related services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows.

SCOPE OF WORK

Speaker shall provide the following services at the Event and in connection with the Event: a live presentation, participation in panel or Q&A, and reasonable pre-event coordination with Organizer. Detailed description:

PAYMENT TERMS

Organizer shall pay Speaker the total fee of (the "Fee") for the performance described herein.

Late Payment: Amounts not paid when due shall incur interest at the rate of or the maximum permitted by law, and Organizer shall be responsible for reasonable collection costs and attorneys' fees.

Expenses: Organizer shall reimburse Speaker for pre-approved, reasonable travel and accommodation expenses. Reimbursable expenses must be submitted with receipts and are due within 30 days of invoice.

Taxes: Each party is responsible for its own taxes and filings arising from payments under this Agreement unless required otherwise by applicable law.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement without cause by providing written notice at least days prior to the Event. In the event of such termination by Organizer after the deposit is paid, the deposit shall be retained by Speaker as liquidated damages unless otherwise agreed in writing.

Termination for Cause: Either party may terminate immediately upon material breach by the other if such breach is not cured within 10 days of written notice. Termination shall not relieve Organizer of the obligation to pay for services performed prior to termination.

CANCELLATION & FORCE MAJEURE

Cancellation: If Organizer cancels the engagement within 30 days of the Event, Organizer shall pay Speaker a cancellation fee equal to of the Fee, in addition to any non-refundable expenses.

Force Majeure: Neither party shall be liable for delays or failures due to causes beyond its reasonable control, including acts of God, public health emergencies, government action, or strikes. The affected party must notify the other promptly and make reasonable efforts to reschedule the engagement. If rescheduling is not feasible within 180 days, either party may terminate and any refundable amounts shall be returned less documented expenses and non-refundable deposits.

CONFIDENTIALITY

Each party shall treat as confidential any non-public information disclosed in connection with this Agreement. Confidential information does not include information that is or becomes publicly known other than by breach of this Agreement, or that is rightfully received from a third party without restriction. Confidential materials shall be used only for purposes of performing obligations under this Agreement and shall be returned or destroyed upon request.

RECORDING, PUBLICITY, AND INTELLECTUAL PROPERTY

Recording: Organizer shall not record, broadcast, or distribute the presentation without the prior written consent of Speaker. If recording is permitted, Organizer shall obtain written permission from Speaker and provide appropriate credit and compensation as agreed in writing.

Intellectual Property: Speaker retains all copyrights and intellectual property rights in materials created prior to or independently of this engagement. Organizer is granted a limited, non-exclusive, non-transferable license to use materials provided by Speaker solely for internal promotion of the Event, unless otherwise agreed in writing.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify and hold harmless the other party from and against third-party claims, liabilities, losses, and expenses arising from the indemnifying party's negligence or willful misconduct in connection with this Agreement.

Limitation of Liability: Except for indemnification obligations and willful misconduct, the maximum aggregate liability of either party shall not exceed the total Fees paid under this Agreement. In no event shall either party be liable for consequential, incidental, or punitive damages.

COMPLIANCE WITH LAWS

Both parties shall comply with all applicable laws, regulations, and venue policies in connection with the performance of their obligations under this Agreement.

GOVERNING LAW; ENTIRE AGREEMENT; AMENDMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior understandings and agreements, whether written or oral.

Amendment: Any amendment or modification to this Agreement must be in writing and signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties shall negotiate in good faith to replace any invalid provision with a valid provision that preserves the parties' intent.

Relationship of the Parties: The relationship of Organizer and Speaker is that of independent contractors. Nothing in this Agreement shall create an agency, partnership, employment, or joint venture relationship.
