EVENT STAGE CONTRACT

WHEREAS, Organizer is producing the event titled to be held at ; and

WHEREAS, Provider supplies stage structure, rigging, lighting platforms, and related crew necessary for safe stage assembly, and Organizer desires Provider to furnish such services for the event on , .

Scope of Work

Provider shall furnish, install, operate, supervise and strike the stage and related equipment in accordance with the specifications below and any attached exhibits. Provider's responsibilities include all labor, equipment, rigging, safety inspections, and qualified crew necessary for safe performance, unless otherwise stated in writing. Provider shall comply with all applicable laws, venue rules and industry safety standards.

Payment Terms

Organizer agrees to pay Provider the total contract amount and to reimburse pre-approved, documented expenses. Unless otherwise specified below, amounts shown are exclusive of applicable taxes.

Overdue balances shall incur a late fee of % per month (or maximum permitted by law), plus collection and legal costs.

Term and Termination

This Agreement commences on the Start Date and terminates on the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Organizer of obligation to pay for services performed and costs reasonably incurred through the effective date of termination.

Confidentiality

Each party shall keep confidential and not disclose to third parties any non-public information obtained from the other party in connection with this Agreement, except as required by law. Confidential information includes technical specifications, pricing, logistical plans, and other proprietary information. Confidential obligations survive termination for years.

Insurance and Indemnity

Provider shall maintain commercial general liability insurance and employer's liability insurance with limits not less than and shall provide certificates of insurance upon Organizer's request prior to commencement of work.

Each party indemnifies and holds harmless the other from claims, liabilities, losses, damages, and expenses arising from its negligent acts or willful misconduct in connection with performance under this Agreement.

Safety, Compliance and Site Conditions

Provider is responsible for safe installation and operation of stage structures and must comply with applicable building codes, venue rules, and safety standards. Organizer will promptly advise Provider of any site limitations, underground utilities, or restrictions that may affect installation. Any additional costs resulting from undisclosed site conditions are the responsibility of Organizer unless otherwise agreed in writing.

Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, severe weather, strikes, or governmental action. The affected party shall give prompt notice and make reasonable efforts to mitigate the impact.

Change Orders

Any material changes to the scope, schedule, or costs must be documented in a written change order signed by authorized representatives of both parties. Provider is not obligated to perform change work absent an executed change order.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

This Agreement, including any executed exhibits and change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and representations, whether written or oral.
