EVENT SUMMER BASH - GENERAL BUSINESS AGREEMENT

This General Business Agreement ("Agreement") is made and entered into as of the Effective Date: , by and between the Organizer: and the Client/Sponsor: .

WHEREAS

WHEREAS, Organizer has experience in planning and producing public events and shall organize and manage an event known as "Event Summer Bash" (the "Event") to be held at the Location specified below; and

WHEREAS, Client desires to retain Organizer to provide event management, promotion, and related services for the Event in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Organizer and Client desire to set forth the scope, compensation, confidentiality, and other material terms governing their relationship for the Event.

SCOPE OF WORK

Organizer shall perform the services described below and such additional services as the parties may agree in writing. Organizer will coordinate logistics, vendors, staffing, marketing, day-of-event management, permits, and safety protocols necessary to operate the Event.

PAYMENT TERMS

Client shall pay Organizer a total fee of (the "Fee") in accordance with the payment schedule set forth below. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Any payment not received by Organizer within ten (10) days of its due date shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. In addition, Client shall be responsible for reasonable collection costs, including attorneys' fees, incurred by Organizer to collect overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least prior to the effective date of termination. In the event of a material breach by either party that remains uncured for a period of ten (10) days after written notice, the non-breaching party may terminate immediately. Termination shall not relieve Client of its obligation to pay for services performed and reimbursable expenses incurred through the effective date of termination, nor relieve Organizer of obligations to wind down services in a commercially reasonable manner.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive or have access to confidential information of the other party, including but not limited to financial terms, marketing plans, attendee lists, vendor pricing, technical information, and other proprietary data ("Confidential Information"). Each party agrees to maintain the confidentiality of the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential Information shall not include information that is (i) publicly available without breach of this Agreement, (ii) rightfully received from a third party without restriction, or (iii) independently developed without the use of the other party's Confidential Information.

A receiving party may disclose Confidential Information to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Notwithstanding the foregoing, either party may disclose Confidential Information to the extent compelled by law or valid process, provided the disclosing party gives the other party prompt written notice and cooperates in seeking appropriate protective measures.

INSURANCE; INDEMNIFICATION

Organizer shall maintain general liability insurance in commercially reasonable amounts for events of similar size and scope and shall provide evidence of such insurance upon Client's written request. Organizer shall indemnify, defend, and hold Client harmless from and against any third-party claims arising out of Organizer's gross negligence or willful misconduct in providing services under this Agreement. Client shall indemnify, defend, and hold Organizer harmless from and against claims arising from Client's negligence, breach of this Agreement, or failure to obtain required permits.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State selected by the parties: , without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall first be submitted to good faith negotiation between authorized representatives of the parties. If negotiation fails, the parties agree to submit the dispute to binding arbitration in accordance with the commercial arbitration rules mutually agreed upon by the parties, conducted in the county where the Event is located unless otherwise agreed in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between Organizer and Client with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendments or modifications to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Organizer may assign to an affiliate or successor in interest without Client consent provided Client receives notice.
