EVENT TALENT RELEASE FORM

This Event Talent Release Form (the "Agreement") is entered into on by and between:

WHEREAS, the parties desire to set forth the terms under which Talent will perform and grant rights to Organizer with respect to Talent's performance, appearance, name, likeness, voice and performance recordings.

Scope of Work

Talent shall perform the services described below. Talent agrees to perform in a professional manner consistent with industry standards and to cooperate with Organizer's reasonable direction.

Payment Terms

Organizer will pay Talent the total fee set forth below in exchange for the services and rights granted in this Agreement.

Term and Termination

This Agreement commences on and terminates on , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breach is not cured within the notice period set forth above. Termination does not relieve Organizer of the obligation to pay fees due for services performed prior to termination.

Grant of Rights; Use of Likeness

Talent hereby irrevocably grants to Organizer and its licensees, affiliates and assigns a worldwide, perpetual, transferable, royalty-free right and license to record, reproduce, distribute, publish, broadcast, and otherwise use Talent's performance, name, image, voice, biographical material, and likeness (collectively, "Materials") in connection with the Event and for promotional, marketing, advertising, archival, commercial and other lawful purposes.

Talent waives any moral rights and agrees not to assert any claim based on defamation, invasion of privacy, right of publicity, or derogatory treatment arising from Organizer's use of the Materials, provided such use is not intentionally false or knowingly unlawful.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information (the "Confidential Information"), except as required by law or to perform obligations under this Agreement.

Talent acknowledges receipt of and agrees to maintain any Confidential Information disclosed by Organizer in strict confidence.

Representations, Warranties and Indemnity

Talent represents and warrants that Talent has the full right, power, and authority to enter into this Agreement and to grant the rights granted herein; that Talent's performance and the Materials will not infringe or violate the rights of any third party; and that Talent is not subject to any agreement that would limit Talent's ability to perform or grant the rights herein.

Talent agrees to indemnify, defend and hold harmless Organizer and its officers, directors, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of any breach of Talent's representations or warranties.

Cancellation; Force Majeure

If Organizer cancels the Talent's engagement without cause, Organizer will pay Talent the cancellation fee set forth in the payment terms or, if no fee is specified, a reasonable cancellation amount. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, strikes, governmental orders, or public health emergencies; provided the affected party provides prompt notice to the other and uses commercially reasonable efforts to perform.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. Any legal action arising out of this Agreement shall be brought in the state or federal courts located in that state.

This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Headings are for convenience only and shall not affect interpretation.
