Event Talent Show Agreement

Recitals

WHEREAS, Organizer operates and produces an event known as the Event Talent Show (the "Event") to be held on at ;

WHEREAS, Performer represents that Performer has the skill, experience and legal right to perform the services described herein and is willing to render such services for Organizer under the terms set forth in this Agreement;

WHEREAS, the parties desire to set forth their respective obligations, payment terms and other conditions governing Performer’s engagement for the Event.

Scope of Work

Performer shall provide the following services, including all rehearsals, setup and performance times identified below. All services must be provided in a professional manner consistent with industry standards.

Payment Terms

Organizer shall pay Performer the total fee of for the services described in Scope of Work.

Late payments shall incur a late fee of per month on any unpaid balance after ten (10) days past the due date, plus any costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement commences on the date executed by the last signing party and will remain in effect for the period beginning on and ending on .

Either party may terminate this Agreement for material breach if such breach remains uncured for a period of thirty (30) days after written notice. Termination shall not relieve Organizer of its obligation to pay for services rendered prior to termination.

Confidentiality

Performer and Organizer each acknowledge that during the course of this engagement they may receive Confidential Information. "Confidential Information" means nonpublic business, technical or financial information disclosed in connection with the Event. Each party shall hold Confidential Information in strict confidence and shall not disclose it to any third party without the prior written consent of the disclosing party, except as required by law.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of two (2) years.

Insurance and Indemnification

Performer shall maintain, at Performer's expense, liability insurance covering Performer's participation in the Event in amounts customary for similar performances. Upon request, Performer shall provide Organizer with a certificate of insurance naming Organizer as additional insured to the extent reasonably required by Organizer.

Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any and all losses, claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Cancellation; Force Majeure

If Organizer cancels the Event more than seven (7) days prior to the Event date, Organizer shall refund any deposit less reasonable non-refundable expenses incurred by Organizer. If Performer cancels within seven (7) days of the Event, Performer shall refund any deposit and reimburse Organizer for reasonable costs incurred in securing a replacement.

Neither party shall be liable for failure to perform its obligations hereunder to the extent such failure results from acts beyond the party's reasonable control, including without limitation acts of God, pandemics, fire, strikes, governmental actions, or severe weather; provided that the affected party gives prompt written notice to the other party and uses commercially reasonable efforts to mitigate the effect of such event.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any attachments or addenda signed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any notices required under this Agreement shall be in writing and delivered to the contact information set forth above.
