EVENT TASTING AGREEMENT

WHEREAS, Client desires to engage Vendor to conduct a tasting of proposed food and/or beverage items in advance of an event to evaluate quality, presentation and suitability for the event; and

WHEREAS, Vendor represents that it is qualified to prepare and present sample items for tasting and desires to provide such tasting services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their agreement regarding the scope, payment and scheduling of the tasting session.

Scope of Work

Vendor shall prepare, present and serve sample items as described below. Vendor shall ensure samples are prepared in a commercially reasonable manner, are labeled for allergens where applicable, and are presented by competent staff. Client will provide reasonable access to the tasting location and any required serving equipment as agreed.

Dietary Restrictions & Allergen Notice

Client represents that it has disclosed known dietary restrictions and allergies for tasters. Vendor will identify common allergens in provided samples but is not responsible for undisclosed allergies.

Payment Terms

Client shall pay Vendor the tasting fee and any applicable deposits as set forth below. Fees paid for tasting sessions may be applied to the final event contract at Vendor's discretion as set out below.

Term and Termination

This Agreement is effective as of Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Vendor may cancel a tasting for health or safety reasons with notice to Client and shall promptly refund any prepaid tasting fee relating to the cancelled session.

Confidentiality

Each party acknowledges that proprietary information may be disclosed in connection with the tasting and subsequent contract negotiations. "Confidential Information" includes recipes, pricing, menu formulations, and other proprietary business information disclosed in written or oral form. Each party agrees to hold Confidential Information in strict confidence and not to disclose it to third parties or use it except in furtherance of the event engagement. Confidentiality obligations shall not apply to information that is publicly known or rightfully received from a third party without restriction.

Liability and Indemnification

Vendor warrants that food and beverage samples will be prepared in accordance with applicable health and safety standards. Client agrees to assume responsibility for any undisclosed allergies or contraindications among tasters. To the fullest extent permitted by law, each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities or expenses arising from the indemnifying party's negligence or willful misconduct in connection with the tasting.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and the Scope of Work set forth above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
