Recitals

WHEREAS, Client desires to engage Provider to supply venue, technical production, and related services for an event described below (the "Event"); and

WHEREAS, Provider has the facilities, equipment, personnel, and professional expertise necessary to provide the services identified in this Quote; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree that this Quote, when signed by both parties, constitutes a binding agreement for the provision of the services described herein.

Payment Terms

The Client shall pay the Deposit Required upon execution of this Quote. The remaining balance shall be paid in accordance with the payment schedule below. Late payments shall accrue the late fee stated below and Provider may suspend services for nonpayment after required notice.

Failure to pay undisputed amounts when due shall entitle Provider to recover all costs of collection, including reasonable attorney fees and court costs, in addition to any late fees specified above.

Either party may terminate this Agreement for convenience upon giving written notice to the other party not less than days prior to the intended termination date. Termination for cause may be immediate where a material breach remains uncured fifteen (15) days after written notice, provided that payment obligations for services performed through termination remain due and payable.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes public through no breach by the receiving party; (b) is rightfully received from a third party without restriction; or (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

The receiving party shall use Confidential Information only to perform its obligations under this Quote and shall not disclose it to third parties except to the extent necessary to perform services and only under similar confidentiality obligations. The obligations of confidentiality shall survive termination or expiration of this Quote for a period of two (2) years.

Governing Law

This Quote and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Quote, together with any attachments, exhibits, or referenced statements of work, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment or modification to this Quote must be in writing and signed by authorized representatives of both parties.
