EVENT TICKET AGREEMENT

This Event Ticket Agreement ("Agreement") is entered into as of by and between Promoter Name: and Purchaser Name: .

WHEREAS

WHEREAS, Promoter is the organizer and legal owner of the Event described below and has the authority to issue tickets for admission; and

WHEREAS, Purchaser desires to purchase, distribute, or re-sell a specified number of tickets on the terms set forth herein, and Promoter desires to supply such tickets subject to the terms and conditions of this Agreement.

WHEREAS, the parties intend for this Agreement to govern the issuance, payment, delivery, use, and any permitted transfer of tickets for the Event.

SCOPE OF WORK

Promoter will issue and provide to Purchaser the number and type of tickets described above for admission to the Event. Purchaser shall purchase, market, distribute, or resell tickets only as expressly permitted in this Agreement and shall comply with all ticketing rules, venue policies, and instructions provided by Promoter.

PAYMENT TERMS

Purchaser shall pay Promoter the Total Ticket Price in accordance with the schedule below. All amounts due under this Agreement are exclusive of applicable taxes unless otherwise stated.

All payments shall be made in cleared funds to the account designated by Promoter. Failure to make payments when due constitutes material breach and may result in suspension or cancellation of ticket delivery and revocation of distribution rights.

REFUNDS, CANCELLATIONS, FORCE MAJEURE

Promoter shall use commercially reasonable efforts to hold the Event as scheduled. In the event of postponement, cancellation, or venue change due to causes beyond Promoter's reasonable control, Promoter's liability shall be limited to refund of amounts actually received from Purchaser attributable to the affected tickets, except where greater liability is expressly imposed by applicable law.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the non-breaching party provides written notice and the breaching party fails to cure within days. Termination shall be without prejudice to amounts accrued and remedies available at law or in equity.

CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to any third party any non-public information disclosed by the other party in connection with this Agreement, including ticket pricing, distribution lists, and marketing plans, except as required by law or as necessary to perform obligations hereunder. Confidentiality obligations shall continue for a period of following termination.

INDEMNIFICATION

Purchaser shall indemnify, defend and hold Promoter harmless from and against any and all claims, damages, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Purchaser's distribution, marketing, resale practices, negligence, or breach of this Agreement. Promoter shall indemnify Purchaser for claims arising from Promoter's gross negligence or willful misconduct.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, courier, or certified mail, return receipt requested, and shall be effective upon receipt.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state chosen by the parties at signing. The parties submit to the exclusive jurisdiction of the courts located therein for any disputes arising under this Agreement.

This Agreement, together with any attached schedules and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Promoter may assign to an affiliate or successor in interest.
